1. General provisions
The provider is CYBERWEALTH.PRO Spółka z ograniczoną odpowiedzialnością, ul. Chłabówka 29, 34-500 Zakopane, Poland, NIP 7361753612, REGON 541919307, KRS 0001176671 (the “Provider”).
These terms govern the use of simplevent.pl, the administration panel, applications and related services, including channel manager, payments, locks and the AI assistant (the “Services”).
Using the Services means accepting these terms and the Privacy Policy. Acceptance is recorded with the date, document version and user identifier. Without acceptance, account creation and use of the panel are not possible.
Definitions: “Customer” — a business (property owner or manager), including a sole trader, that has entered into a contract with Simplevent for use of the panel. A Guest or a property owner who has not concluded a contract is not a Customer. “User” — a natural person granted panel access by the Customer (employee, contractor, administrator) acting on the Customer’s behalf and for the Customer’s benefit. “Property” — a property managed in Simplevent; “Guest” — a person booking a stay; “Data” — information entered into the system, including personal data.
Where Simplevent uses the panel for its own properties, it does so as an internal tool and not as a Customer under a contract with itself.
2. Scope of Services
Simplevent provides a short-term rental PMS: availability calendar, reservations, pricing and rate plans, settlements, invoicing, guest communication, channel manager integrations, online payments, lock management and an AI assistant.
Features may change as the product evolves. Beta or experimental features are provided “as is” and may be changed or removed.
The Services may rely on third parties (e.g. NoBeds, Fiserv, TTLock, Google, email providers). Simplevent is not responsible for their availability, content or policies.
3. Account and access
Accounts are created by the Customer’s administrator or via an identity provider (e.g. Google). Users must provide accurate information and keep it up to date.
Users are responsible for keeping credentials confidential and for all activity on their account. Suspected unauthorised access must be reported immediately.
One account belongs to one person. Sharing an account requires the Customer’s consent and is at the Customer’s risk.
4. Acceptable use
Users must use the Services lawfully, in accordance with these terms, good practices and third-party rights.
Prohibited: unauthorised access, circumventing security, disrupting the Services, automated scraping, overloading the API, uploading unlawful content and using the Services for unlawful purposes.
The Customer is responsible for the accuracy of Property data, prices, availability, descriptions, photos and booking policies, and for their lawful publication.
5. Fees and billing
Fees are set out in the price list, contract or order. Simplevent may charge subscriptions, booking commissions or module fees.
Invoices are issued according to the Customer’s billing details. Payment terms are stated on the invoice or in the contract. Simplevent may suspend access for overdue payments after notice.
Price changes require reasonable notice and do not affect periods already paid. All amounts are net unless stated otherwise.
6. Liability
The Services are provided with due care. To the fullest extent permitted by law, Simplevent does not guarantee uninterrupted or error-free operation or fitness for the Customer’s specific expectations.
Simplevent is not liable for third-party actions and integrations, internet outages, force majeure, loss of profit, data loss caused by the Customer, indirect damages, or Guest claims arising from the Customer’s data or policies.
Simplevent’s total liability under the contract is limited to the fees paid by the Customer in the 12 months preceding the event, and for free Services to PLN 500. These limits do not apply to wilful misconduct, gross negligence, death or personal injury, or where limitation is prohibited by consumer law.
The Customer is responsible for the content and legality of Data entered into the system and for relationships with Guests, including property terms and information duties.
7. Intellectual property
Simplevent and its licensors own all rights to the software, source code, interface, components, templates, documentation, texts, graphics, logos, databases and other materials made available through the Services.
The Customer receives a limited, non-exclusive, non-transferable and revocable licence to use the Services only as permitted by these terms and the contract.
It is prohibited to copy, modify, decompile, reverse engineer, create derivative works, rent, resell, disclose to third parties, remove proprietary notices, or use Simplevent’s interface elements, texts or graphics in other products or materials without written consent.
Content and Data entered by the Customer remain the Customer’s property. The Customer grants Simplevent a licence to process and display them solely to provide the Services.
Feedback provided to Simplevent may be used to develop the product without additional remuneration.
8. Personal data and GDPR
For Guest and reservation data the Customer is the controller and Simplevent acts as a processor under a data processing agreement (DPA) forming an annex to the contract. For account, billing and contact data Simplevent is the controller.
Simplevent applies technical and organisational measures: access control, encrypted connections, backups, event logging and restricted data access. Details, subprocessors and retention periods are described in the Privacy Policy.
Simplevent may share data with subprocessors (hosting, email, payments, channel manager, locks, accounting, support) only as necessary to provide the Services. Transfers outside the EEA use appropriate safeguards.
The Customer must provide Guests with the required information and legal bases and notify Simplevent of any personal data breach.
9. Cookies and similar technologies
The panel uses essential cookies to maintain the session, security and preferences. These cookies do not require consent.
Analytics and marketing cookies may be used only after consent. Consent can be withdrawn at any time without affecting the lawfulness of prior processing.
Cookie types, purposes and retention periods are described in the Privacy Policy.
10. Confidentiality and security
The parties keep confidential commercial, technical and organisational information obtained in connection with the Services during and after the contract.
Each party promptly informs the other of any suspected security incident that may affect data or the Services.
11. Backups and availability
Simplevent performs regular backups and makes reasonable efforts to keep the Services available. Planned maintenance may cause short interruptions.
Unless the contract states otherwise, Simplevent does not guarantee a specific SLA. The Customer should keep its own copies of critical data.
12. Termination
The contract may be terminated as set out in the contract, including with notice. Simplevent may terminate immediately for a material breach of these terms.
After termination the Customer may export its data for 30 days. Afterwards data may be deleted unless retention is required by law.
13. Complaints
Complaints about the Services should be sent to contact@cyberwealth.pro with a description, Customer details and the expected resolution.
Simplevent responds within 14 days of receiving a complete complaint. If additional information is required, the period runs from its receipt.
14. Changes to these terms
Simplevent may change these terms due to legal, technical or service changes. Material changes are announced at least 14 days in advance.
Continued use after the changes take effect means acceptance of the new version. If the Customer does not accept the changes, it may terminate before they take effect.
15. Governing law and disputes
These terms are governed by Polish law. Disputes are resolved by the court competent for the Provider’s registered office, subject to mandatory consumer protection rules.
These terms are mainly addressed to businesses. Consumers retain the broader protection granted by law.
